In the area of investment and M&A, Ms. Shi has extensively represented China's large central and private enterprises, private investment institutions, and sovereign funds in investment and M&A transactions. Ms. Shi's recent experience includes advising: China Mobile's 45billion yuan investment in the Postal Savings Bank of China;China Mobile's initiative to set up a health care big data company; China Life's acquisition of 23.686% of the equity of China Guangfa Bank Co., Ltd. and its becoming the single largest shareholder; China Guangfa Bank's capital increase transactions with a total amount of no more than 30billion yuan and the introduction of two strategic investor project; Huaneng Power International's acquisition of a series of power asset. Ms. Shi also represented many sovereign funds, PE firms, and financial institutions for their investments and M&A transactions in China, including without limitation China Mobile Capital, Temasek, China Life, SDIC Fund Management, etc.
In the area of capital markets transactions, Ms. Shi has been involved in many initial public offerings, refinancing of listed companies, and M&A and restructuring projects. Representative transactions include: China Mobile's initial public offering of A-shares; the Bank of Xi'an's initial public offering of A-shares; China Construction Bank's non-public offering of domestic preferred shares of RMB 60 billion; China Construction Bank's non-public offering of overseas preferred shares of USD 3.05 billion; Ping An Bank's public offering of 26 billion yuan of A-share convertible bonds and many financial bonds; Huaneng Power International's private offering of A-shares and many corporate bonds, inter-bank market debt financing instruments; COSCO Shipping Holdings Co., Ltd's non-public offering of A-shares.
In the area of general corporate practice, Ms. Shi provides regular legal services for Huaneng Power International (600011. SH, 00902. HK), Industrial and Commercial Bank of China (601398. SH, 01398. HK), Ping An Bank (000001. SZ), China Mobile Communications Group Co., Ltd., China Mobile Investment Co., Ltd., China Reinsurance Group, etc. Ms. Shi has extensive experience in the disclosure of listed companies, corporate governance, changes in equity, day-to-day compliance, and post-investment management of investment institutions.
Ms.Shi received her Master of Laws degree from Peking University in 2016.
